On Wednesday, 21 July 2010, the 14th session of the UNIOR, d.d., General Meeting was held in the Dobrava hotel in Zreče. 90.05% of all the shares with voting rights were present at the session. This General Meeting session was especially relevant because of the proposed addition of shares issued by UNIOR, d.d., to trading on the regulated market of the stock exchange Ljubljanska borza, d.d., Ljubljana.
First, the General Meeting viewed the 2009 annual report and was told that the accumulated loss from the 2009 financial year amounts to EUR 5,478,685.74, comprising a net loss from the 2009 financial year in the amount of EUR 9,765,687.63 and undistributed profit from the previous years in the amount of EUR 4,287,001.89. The General Meeting adopted a decision stating that the accumulated loss from the 2009 financial year in the amount of EUR 5,478,685.74 shall remain undistributed and shall be transferred to the next year. For their work in the 2009 financial year, the management and supervisory board were discharged. The General Meeting of Shareholders agreed on the addition of UNIOR Kovaška industrija, d. d., shares to trading on the regulated market of the stock exchange Ljubljanska borza, d. d., Ljubljana, and with the initiation of the procedures and activities required for the addition of shares to trading on the regulated market. A decision was adopted stating that, as of 1 January 2010, the annual financial report and all the interim financial reports of UNIOR, d. d., shall be compiled solely in accordance with the International Financial Reporting Standards. The General Meeting also approved amendments to the Memorandum of Association that were required to harmonise the Memorandum with the provisions of the Act amending the Companies Act on convening the General Meeting and notifying shareholders, and added a new activity to the list of the company’s registered activities. The General Meeting of Shareholders appointed the authorised auditing firm Ernst & Young, d.o.o., from Ljubljana to audit the UNIOR, d.d., annual report for the 2010 financial year.
